Terms and Conditions
Definitions
In these Terms and Conditions, “DFW” means Digital Fashion Week NY LLC and their successors and assigns. Digital Fashion Week NY LLC is a US company which is identified at the registry of the Department of State of New York. DFW is the creator of the DFW events and the organizer of DFW including the Physical-Digital Runway Feature, Digital Runway, Fashion Animation, Virtual Try On.
In these Terms and Conditions, the following words will have the following meanings:
“Application Form” means the DFW form that is to be filled by Applicants in order to participate to the Project, in compliance with the Terms and Conditions produced by DFW containing such regulations as may deem reasonable to them relating to the Project, the Website and the Applicant’s attendance and conduct in the Project; “Project” means the DFW event and/or exhibition of any type referred to in the Application Form; “Applicant” means the company, person, organization or other entity identified as the party making the application for the Project; and “Terms” means these terms and conditions together with the
contents of the Application Form.
References to Clauses shall be to the clauses of these Terms.
Agreement These Terms shall govern the provision of the Space by DFW to the Applicant to the exclusion of any other terms and conditions. A binding contract is formed between the Applicant and DFW immediately upon DFW’s written acceptance of the Application. Except as otherwise stated herein, these Terms shall not be modified unless in writing signed by the party to be bound.
Exhibiting in the physical and/or virtual space or on any digital channel. Unless agreed otherwise by DFW, the Applicant’s participation to the Project is subject to written acceptance by DFW. DFW reserves the right to choose the duration, the order and/or the space in which digital art and/or artworks and physical fashion/runways will be displayed or performed. Once DFW accepts the Application, the Applicant will receive further information.
Law and jurisdiction These Terms shall be governed in all respects by the New York State law.
Compliance with laws and regulations: The Applicant shall comply with all applicable laws, regulations and codes of practice relating to the Project and the Applicant’s attendance at the Project, including without limitation, all local laws and fire and safety regulations, the rules and regulations set out in the Project Manual and any additional rules imposed by the operator or owner of the Venue or the government. Termination DFW may terminate this agreement forthwith by notice in writing to the Applicant or exclude the Applicant from the exhibition. The Applicant may terminate this agreement forthwith by notice in writing to DFW.
Application Fee The application fee (if applicable) is non refundable.
Liability Neither DFW nor the applicant shall be liable to the other, their employees, agents, or representatives or any other person for injury, damage or loss whatsoever, arising from any cause whatsoever. The Applicant agrees to indemnify and hold DFW harmless from and against any claims whatsoever for injury, loss, or damage resulting from any action or omission of the Applicant of its employees, agents, or representatives.
Artwork The artist is the owner of all artwork submitted, however DFW has all usage rights to any artwork submitted by the Applicant. Any and all artwork sent to DFW can be used solely for exhibition, marketing and promotional purposes before, during and after the Project. All photography and videography organized by DFW at events is owned by DFW.
